1. Nature of Engagement

Contractual Basis: Services are provided on a freelance/contractual basis. No employer-employee relationship is established under the Indian Contract Act, 1872, Code on Wages, 2019, or other labor laws.

Freelance Agreement: A separate Freelance Contract will outline project scope, deliverables, payment terms, confidentiality, and termination clauses.
2. Freelancer Responsibilities

Independent Contractor: You retain control over work methods, timings, and tools. You are responsible for:

Compliance with tax laws (GST/income tax filings under Income Tax Act, 1961).

Maintaining your own workspace, insurance, and equipment.

No Employee Benefits: No entitlement to PF, ESIC, gratuity, or other statutory employee benefits.
3. Client Responsibilities

Payment Terms: Fees as per the Freelance Contract. Late payments incur 1.5% monthly interest under the Interest Act, 1978.

Project Scope: Clear deliverables and timelines must be mutually agreed upon in writing.
4. Intellectual Property

Ownership: All work (chatbot code, AI training data) transfers to the client upon full payment.

Confidentiality: Freelancers must sign an NDA to protect client data under the Information Technology Act, 2000.
5. Termination

By Client: Terminate with 15 days’ written notice. Pay for work completed.

By Freelancer: Terminate with 15 days’ notice if payments are delayed beyond 30 days.
6. Dispute Resolution

Governing Law: Subject to jurisdiction of courts in India.

Arbitration: Disputes resolved via arbitration under the Arbitration and Conciliation Act, 1996.
